Authorization of Lease Signors
If there is a concern about proper signing
authority, a request should be made for the source to obtain a written
letter of authorization or a corporate resolution. In some cases,
proper signing authority is apparent and therefore simple to
confirm. The structure of the lessee business is the determining
factor.

Sole Proprietorship - Only the
proprietorship (owner) is authorized to sign. He/She should sign
their title when they execute the lease.

General Partnership - It is
preferable to have all general partners sign the lease or provide a
partnership agreement. It is, however, acceptable for the lease
to be executed by any general partner who should sign his name and
title.

Limited Partnership - Only
the general partner can execute the lease and he/shwe should sign
their name and title.

Corporation (Corporate Only) - For
deals of less then $25,000.00, a verifiable corporate officer is
acceptable to execute the lease. For deals of $25,000.00, or
more, a corporate resolution is required.
